PRACTICE AREAS
Our attorneys represent private and public sector clients in the following core practice areas:
- Commercial Transactions
- Technology Transfers
- Corporate Relationships (Business Acquisitions and Acquisitive Reorganizations)
- Economic and Community Development
- Commercial Real Estate
From inception, the firm has represented institutional lenders, borrowers and commercial concerns focusing on asset based financing transactions, taxable asset and stock acquisitions, acquisitive reorganizations under IRC 351, 355 and 368, and underlying regulations. The firm has extensive experience and a strong working familiarity with lender documentation, commercial leasing, UCC and other commercial transactions.
In 1999 DoD engaged our firm to define and blend technology transfer policy with research and capitalization needs of emerging biotech companies and federal laboratories. Today the firm remains engaged by DoD to: prepare corporate technology transfer documentation for federal laboratories; and recommend and support innovative strategies to pool resources with the private sector. Moore & Associates, P.A. is proud to have pioneered a model equity transaction among the US Government and a public company trading on the NYSE.
The firm boasts an eclectic portfolio of corporate clients from food and novelty vendors with operations along the eastern coast line to a cosmetic retailer in New York City. This group also includes venture capitalists and commercial oriented lenders who manage commercial loans and investments in innovative, small and certain minority businesses, providing needed debt and equity capital to a range of growing businesses throughout the Mid-Atlantic region and in economically distressed areas.
In recent years, the firm has taken a more active role in economic development of the inner cities and we are currently charged with orchestrating the means and methods to finance public improvements targeting commercial corridors in our neighborhoods. In East Baltimore, for example, the firm collaborated with project stakeholders to prepare a project by project commercial corridor redevelopment strategy designed to pool interests, resources and maximize community reinvestment dollars. We continue to work with the HCBU community and others to help design and deliver a post-secondary institutional academic model to better manage economic and community development programs that serve the historic business and residential communities.
Our core practice areas and talents are used to serve the community at-large. The firm serves as the legal advocate for a number of federal, state and local elected officials. Our time and energies are spent working to further redevelopment of underutilized urban areas or unimproved real estate surrounding the regional beltways. Our reputation, as a highly respected community advocate with a redoubtable and distinguished track record of service, was and continues to be earned working on a number of high-profile community reinvestment projects in historically underutilized areas and in some of the most underdeveloped areas in the region.
Moore & Associates has developed a strong working alliance with real estate developers and other members of the housing, real estate finance, and development community. We structure and broker real estate transactions and provide owner's representation and development management services, primarily in the Washington, D.C. and Baltimore metropolitan areas.
